Evaluation of Disclosure Controls and Procedures
Our management, with the participation of our Chief Executive Officer (“CEO”) and Chief Financial Officer (“CFO”), has evaluated the effectiveness of our disclosure controls and procedures pursuant to Rule 13a-15(b) or 15d-15(b) under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), as of June 30, 2024. Based on such evaluation, management, including our CEO and CFO, has concluded that as of June 30, 2024, our disclosure controls and procedures were effective and provide reasonable assurance that information we are required to disclose in our reports pursuant to Rule 13a-15(e) or 15d-15(e) under the Exchange Act is recorded, processed, summarized and reported within the time periods specified by the SEC’s rules and forms. Our CEO and CFO also have concluded that as of June 30, 2024, information that we are required to disclose in our reports under the Exchange Act is accumulated and communicated to our management, including our CEO and CFO, as appropriate to allow timely decisions regarding required disclosure.
Internal Control Over Financial Reporting
As previously disclosed, we are in the process of a multi-year implementation of the integrated global financial systems and infrastructure (“GFS”). The first phase of this implementation became operational during the quarterly period ended June 30, 2024, during which we modified or updated certain existing internal controls over financial reporting and implemented new
controls and procedures. As the phased implementation of GFS progresses, we expect to continue to modify or update certain processes and procedures, which may result in further changes to our internal control over financial reporting.
There were no other changes in our internal control over financial reporting (as defined in Rule 13a-15(f) or 15d-15(f) under the Exchange Act) during the quarterly period ended June 30, 2024 that have materially affected, or are reasonably likely to materially affect, our internal control over financial reporting.
