The terms, in plain words.

filings.tools is run by Dark Vector Cognition LLC, a Texas company. By using the site, its API or its assistant connector, you agree to these terms. Effective October 1, 2026.

What you get

filings.tools shows public SEC filings from EDGAR by section, with comparisons and financial facts, on the web, through a REST API and through an MCP connector for AI assistants. Reading on the site is free and needs no account. The API has a free daily allowance per IP address and paid plans with higher limits; the current allowances and prices are on the pricing page.

Not investment advice

Everything here is source data and tools for reading it. Nothing on the site, in the API or from the connector is investment, legal, tax or accounting advice, or a recommendation to buy or sell anything. Filings are fetched from EDGAR and parsed automatically, so a section can be split in the wrong place, a table can lose formatting, and new filings can take time to appear. Before you rely on a value, check it in the original filing on sec.gov; every page and API answer links to it.

Paid plans and API keys

Plans are monthly subscriptions paid on Stripe's hosted checkout. Your API key is shown once after payment. Keep it secret: anyone holding it can use your allowance, and you are responsible for use of your key. A plan renews each month until you cancel. You can cancel at any time from the Manage subscription form on the pricing page; cancelling stops the next renewal and your key keeps working until the end of the period you paid for. If a charge looks wrong, write to us and we will sort it out.

If a price changes, the new price applies from your first renewal after we announce it, never to a period you have already paid for.

Please do not:

We may throttle traffic or revoke a key that does these things. Where it is a mistake rather than abuse, we will write to you first.

The data

SEC filings are public documents. You may use what you get from filings.tools in your own work and products. Our site design, code, parsing and comparisons remain ours. Use through the connector is also covered by our privacy page, which says what we record and what we do not.

No guarantees

The service is provided as it is. We work to keep it fast and available, but we do not promise it will be uninterrupted or error free, and we may change or retire features. To the extent the law allows, we are not liable for indirect or consequential losses, and our total liability to you is limited to what you paid us in the twelve months before the claim.

Changes, law and contact

If we change these terms, the new version is posted here with a new effective date, and a change that takes something away from paying customers applies from their next renewal. These terms are governed by the laws of Texas. Questions to hello@darkvectorcognition.ai.
