As of January 29, 2016 there were 26,980,942 shares of the registrant’s Common Stock, $0.01 par value per share, outstanding. The aggregate market value of the shares of Common Stock held by non-affiliates of the registrant on June 30, 2015 (based on the closing price for the Common Stock on the New York Stock Exchange as of the last business day of the registrant’s most recently completed second fiscal quarter, June 30, 2015) was approximately $9.5 billion. For purposes of this computation, shares held by affiliates and by directors of the registrant have been excluded.
