Ms. Southern, who succeeded Mr. Goldman as chairman of our audit committee on September 1, 2018, qualifies as an “audit committee financial expert” as such term is defined in Item 16A of Form 20-F and as determined by our board of directors. Our board of directors has determined that Ms. Southern is an independent director under Nasdaq Corporate Governance Rules.
