Director and Officer Rule 10b5-1 and non-Rule 10b5-1 Trading Plans

During the three months ended September 30, 2025, none of PSEG's officers or directors adopted, terminated or modified a Rule 10b5-1 trading arrangement or non-Rule 10b5-1 trading arrangement (as such terms are defined in Item 408 of Regulation S-K of the Securities Act of 1933).

Federal Regulation

Regulation of Wholesale Sales—Generation/Market Issues/Market Power

There are several ongoing proceedings at FERC that may impact future large load customer arrangements, such as data centers, including whether certain data center customers, depending on their configuration, will pay transmission service charges. FERC is also broadly examining issues concerning whether, and to what extent, there are potential reliability, cost and customer impacts raised by the location of large customers at generating facilities. Relatedly, the U.S. Secretary of Energy sent a letter to FERC in October 2025 requesting that FERC initiate a proceeding to establish rules by April 30, 2026, that will facilitate the timely, orderly and non-discriminatory interconnection of large load customers, including data centers, to the transmission grid and establishing principles FERC should apply in the rulemaking process. These principles include support for co-location arrangements that minimize the need for upgrades to the transmission system. FERC has taken responsive action to commence this rulemaking process. We cannot predict the outcome of these proceedings.
