On May 14, 2025, Kamal Bhatia, President and Chief Executive Officer - Principal Asset Management, adopted a Rule 10b5 - 1 trading arrangement that is intended to satisfy the affirmative defense of Rule 10b5 - 1 (c) for the sale, by March 31, 2027, of up to (i) 2,921 shares of the Company’s common stock and (ii) the net shares received upon vesting after tax withholding from eighty percent of a restricted stock unit for 15,954 shares and eighty percent of a performance - based stock unit for a target number of 37,225 shares, plus all dividend equivalent units earned thereon.
