Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 18, 2025, Prudential Financial, Inc. (the “Company”) announced that Caroline A. Feeney, Executive Vice President and Global Head of Retirement and Insurance, will be leaving the Company in connection with an internal reorganization pursuant to which her position is being eliminated. Ms. Feeney will continue in her current role until February 2, 2026, and is currently expected to remain employed with the Company for a short period thereafter.
