Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously announced, George E. Kilguss III, Executive Vice President and Chief Financial Officer of VeriSign, Inc. (the “Company”), retired from the Company effective May 31, 2025.

In connection with Mr. Kilguss’ retirement, on May 30, 2025, the Company entered into a Letter Agreement for Consulting Services (the “Consulting Agreement”) with Mr. Kilguss pursuant to which he will provide certain consulting services to the Company during the period from June 2, 2025 through July 24, 2025, for a fee of $50,000 per month, but not to exceed $100,000. Mr. Kilguss will also be reimbursed for any reasonable travel and lodging expenses incurred in connection with the Consulting Agreement.

The foregoing description of the Consulting Agreement is qualified in its entirety by reference to that agreement, a copy of which is filed as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated herein by reference.
