Unregistered Sales of Equity Securities
There were no unregistered sales of equity securities during the quarter ended December 31, 2024.
Common Stock
Our common stock is traded on the New York Stock Exchange under the symbol “FCX.” At January 31, 2025, there were 9,109 holders of record of our common stock.
Common Stock Dividends
In February 2021, our Board of Directors (Board) reinstated a cash dividend on our common stock (base dividend) at an annual rate of $0.30 per share, and in November 2021, the Board approved a variable cash dividend on our common stock at an annual rate of $0.30 per share. The combined annual rate of the base dividend and the variable dividend totaled $0.60 per share in 2024 and 2023.
In December 2024, our Board declared cash dividends totaling $0.15 per share on our common stock (including a $0.075 per share quarterly base cash dividend and a $0.075 per share variable, performance-based cash dividend), which was paid on February 3, 2025, to shareholders of record as of January 15, 2025. Based on current market conditions, the base and variable dividends on our common stock are anticipated to total $0.60 per share for 2025 (including the dividends paid on February 3, 2025), comprised of a $0.30 per share base dividend and $0.30 per share variable dividend. The declaration and payment of dividends (base or variable) is at the discretion of our Board and will depend upon our financial results, cash requirements, global economic conditions and other factors deemed relevant by our Board. a.On November 1, 2021, our Board approved a share repurchase program authorizing repurchases of up to $3.0 billion of our common stock. On July 19, 2022, our Board authorized an increase in the share repurchase program up to $5.0 billion. The share repurchase program does not obligate us to acquire any specific amount of shares and does not have an expiration date.
The timing and amount of the share repurchases is at the discretion of management and will depend on a variety of factors.
