The Company notes that in connection with the SEC’s recent modernization of legal proceedings disclosures, the Company has elected to apply the threshold of $1 million (with such amount being the lesser of $1 million or 1% of the current assets of the Company on a consolidated basis) pursuant to Item 103(c)(3)(iii) of Regulation S-K in connection with environmental proceedings to which a governmental authority is a party.
